TERMS & CONDITIONS
Effective Date: September 7, 2026
These Terms & Conditions (“Terms”) govern access to and use of the website, digital properties, content, forms, resources, products, programs, and services operated by WAFL+, LLC, a Texas limited liability company (“WAFL+,” “we,” “us,” or “our”).
By accessing this website, submitting an inquiry, purchasing a product or service, registering for a program, or otherwise using our website or services, you agree to these Terms.
If you do not agree with these Terms, do not use our website or services.
1. ABOUT WAFL+
WAFL+ is a business architecture and brand strategy firm that works with emerging companies, entrepreneurs, creator enterprises, established organizations, and other qualified clients.
Our work may include business architecture, operational systems, brand strategy, positioning, growth strategy, intellectual-property strategy support, AI-enabled workflows, process improvement, customer-acquisition systems, media and talent positioning, business development, workshops, education, project coordination, and related implementation services.
The availability, scope, price, timeline, and terms of any engagement may vary and may be governed by a separate proposal, statement of work, service agreement, invoice, engagement letter, or other written agreement.
2. WEBSITE INFORMATION IS NOT A PROFESSIONAL ENGAGEMENT
Information made available through this website is provided for general informational and educational purposes.
Accessing this website, submitting a form, downloading materials, communicating with WAFL+, or receiving general information from us does not by itself create a client, advisory, partnership, fiduciary, joint venture, employment, agency, or other professional relationship.
A professional engagement exists only when WAFL+ and the applicable client have mutually agreed to the scope and terms of the engagement.
3. NO LEGAL, TAX, INVESTMENT, ACCOUNTING, OR OTHER LICENSED PROFESSIONAL ADVICE
WAFL+ is not a law firm, accounting firm, investment adviser, broker-dealer, tax-preparation firm, or other licensed professional-services firm unless expressly stated otherwise in connection with a specific service delivered by an appropriately licensed professional.
Business architecture, intellectual-property strategy support, entity sequencing, financial modeling, research, filing preparation support, or similar services should not be interpreted as legal, tax, accounting, securities, or investment advice.
Where licensed professional advice or representation is required, clients are responsible for consulting an appropriately licensed attorney, CPA, financial professional, broker, contractor, or other qualified professional.
4. CLIENT RESPONSIBILITY AND DECISION-MAKING
Clients remain responsible for their own business decisions, approvals, filings, submissions, expenditures, hiring decisions, contracts, investments, implementations, and compliance obligations.
WAFL+ may provide research, recommendations, frameworks, systems, project coordination, strategic analysis, implementation support, and other work within an agreed scope. Final decisions remain with the client unless a separate written agreement expressly provides otherwise.
Clients are responsible for providing complete, accurate, timely, and truthful information.
WAFL+ is not responsible for consequences resulting from incomplete, inaccurate, outdated, withheld, or misleading information provided by a client or third party.
5. SEPARATE AGREEMENTS CONTROL
Certain services may be governed by a separate:
-
Statement of Work;
-
proposal;
-
service agreement;
-
engagement letter;
-
project agreement;
-
invoice;
-
payment schedule;
-
partnership agreement;
-
licensing agreement;
-
nondisclosure agreement;
-
or other written contract.
If a conflict exists between these website Terms and a separately executed written agreement relating to a specific engagement, the separately executed agreement controls with respect to that engagement.
6. SERVICES, SCOPE, AND AVAILABILITY
WAFL+ reserves the right to:
-
accept or decline any prospective engagement;
-
determine whether an opportunity is aligned with our capabilities or strategy;
-
modify the availability or structure of services;
-
use phased engagements;
-
require discovery, deposits, retainers, milestone payments, or other activation requirements;
-
engage contractors, collaborators, specialists, or vendors when appropriate;
-
and discontinue a service or offering where commercially or operationally necessary.
Submitting an inquiry does not guarantee acceptance as a client.
7. PRICING AND PAYMENT
Pricing may vary based on scope, complexity, timeline, deliverables, implementation requirements, outside costs, and other project-specific factors.
Unless otherwise stated in writing:
-
fees are quoted in U.S. dollars;
-
applicable taxes may be added where required;
-
third-party, government, filing, licensing, travel, vendor, production, advertising, software, or contractor costs are separate unless expressly included;
-
payment obligations are governed by the applicable invoice, proposal, or agreement;
-
and work may be paused when required payments are overdue.
WAFL+ may change publicly listed pricing at any time. A pricing change does not alter an already executed agreement unless permitted under that agreement.
8. DEPOSITS, RETAINERS, MILESTONES, AND REFUNDS
Deposit, retainer, milestone, cancellation, pause, credit, and refund terms vary by engagement and will be stated in the applicable written agreement or checkout terms.
Unless expressly stated otherwise, payments applied to work already performed, resources committed, custom work created, third-party expenses incurred, or project capacity reserved may be nonrefundable to the extent permitted by law.
Nothing in these Terms eliminates any non-waivable rights available under applicable law.
9. NO GUARANTEE OF BUSINESS RESULTS
Business outcomes depend on numerous factors outside WAFL+’s control.
WAFL+ does not guarantee:
-

-
profitability;
-

11. WEBSITE CONTENT AND BRAND ASSETS
The content displayed on this website, including text, graphics, photographs, videos, trademarks, logos, service names, design elements, downloadable materials, and other content, is owned by or licensed to WAFL+ unless otherwise indicated.
You may not copy, reproduce, republish, distribute, sell, modify, create derivative works from, scrape, commercially exploit, or use WAFL+ content without prior written authorization, except as permitted by applicable law.
Third-party trademarks and logos displayed on the website remain the property of their respective owners.
Their appearance does not necessarily imply endorsement, sponsorship, affiliation, or an active commercial relationship.
12. CLIENT MATERIALS
Clients retain ownership of materials they lawfully own and provide to WAFL+, subject to any rights granted under a separate agreement.
By providing materials to WAFL+ for an engagement, the client represents that the client has sufficient rights to allow WAFL+ to use those materials for the agreed purpose.
The client is responsible for obtaining necessary permissions for third-party photographs, footage, music, trademarks, designs, data, copy, software, or other content supplied to WAFL+.
13. PORTFOLIO, CASE STUDIES, AND PUBLICITY
WAFL+ will not publicly disclose confidential client information in violation of an applicable confidentiality obligation.
The right to use client names, logos, project details, photographs, results, testimonials, case studies, or other engagement materials for marketing or portfolio purposes may be addressed in the applicable client agreement or obtained through separate authorization.
Where public materials reference third-party organizations, inclusion should not be interpreted as an endorsement unless expressly stated.
14. CONFIDENTIAL INFORMATION
Information designated as confidential, or that a reasonable person would understand to be confidential based on the circumstances, should be handled in accordance with any applicable confidentiality agreement and governing law.
Do not submit highly sensitive information through a general website contact form unless specifically requested through an authorized secure process.
15. PRIVACY
Our collection, use, storage, disclosure, and handling of personal information is governed by our Privacy Policy and applicable privacy law.
Texas residents may have privacy rights under applicable Texas law. Please review our Privacy Policy for information regarding our data practices and available rights.
16. ELECTRONIC COMMUNICATIONS
By communicating with WAFL+ electronically, submitting an online form, creating an account, electronically signing a document, or completing an electronic transaction, you consent to receiving communications, disclosures, notices, invoices, agreements, and records electronically to the extent permitted by law.
Electronic communications and electronic signatures may have the same legal effect as paper communications and handwritten signatures where applicable.
17. THIRD-PARTY SERVICES AND LINKS
Our website or services may reference or integrate third-party websites, platforms, payment processors, software providers, social networks, contractors, vendors, or external resources.
WAFL+ does not control and is not responsible for the availability, security, content, policies, performance, accuracy, or actions of independent third parties.
Use of third-party services may be subject to separate terms and privacy policies.
18. AI-ENABLED TOOLS AND AUTOMATION
WAFL+ may use artificial intelligence, automation, software tools, research platforms, analytics systems, and other technologies to support research, ideation, workflows, documentation, analysis, production, and implementation.
These technologies are used as tools within a broader human-led process.
AI-generated or software-assisted output may require review, correction, verification, adaptation, or professional validation before implementation.
Clients should not treat machine-generated output as independently verified legal, financial, medical, technical, or other licensed professional advice.
19. ACCEPTABLE USE
You may not use our website or services to:
-
violate applicable law;
-
infringe intellectual-property or privacy rights;
-
transmit malware or malicious code;
-
attempt unauthorized system access;
-
scrape or harvest data in violation of applicable law or our rights;
-
impersonate another person or organization;
-
submit fraudulent or misleading information;
-
interfere with website security or functionality;
-
use our content to falsely represent an affiliation with WAFL+;
-
or engage in conduct intended to damage WAFL+, its clients, collaborators, systems, or users.
20. SUSPENSION OR TERMINATION
WAFL+ may restrict, suspend, or terminate access to website features, accounts, programs, or services when reasonably necessary because of:
-
violation of these Terms;
-
nonpayment;
-
fraud;
-
unlawful conduct;
-
misuse of intellectual property;
-
security concerns;
-
harassment or abusive conduct;
-
material breach of an applicable agreement;
-
or other conduct that creates legal, operational, financial, or reputational risk.
Termination of a professional engagement remains subject to the terms of the applicable agreement.
21. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WAFL+ MAKES NO WARRANTY THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER OR PURPOSE.
ANY EXPRESS WARRANTIES RELATING TO A PARTICULAR PRODUCT, SERVICE, OR DELIVERABLE WILL BE STATED IN THE APPLICABLE WRITTEN AGREEMENT.
22. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAFL+, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE OR GENERAL USE OF THE SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, BUSINESS INTERRUPTION, OR LOSS OF DATA.
FOR CLAIMS ARISING FROM A PAID PROFESSIONAL ENGAGEMENT, ANY ADDITIONAL LIMITATION OF LIABILITY WILL BE GOVERNED BY THE APPLICABLE WRITTEN AGREEMENT.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
23. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless WAFL+, LLC and its members, managers, officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, and reasonable costs arising from:
-
your unlawful use of the website or services;
-
your violation of these Terms;
-
materials you provide without sufficient rights or authorization;
-
your infringement of a third party’s rights;
-
or fraudulent, unlawful, or intentionally wrongful conduct attributable to you.
Any project-specific indemnification obligations will be governed by the applicable written agreement.
24. TEXAS CONSUMER RIGHTS
Nothing in these Terms is intended to waive, restrict, or eliminate any right or remedy that cannot lawfully be waived under applicable consumer-protection law.
WAFL+ will not knowingly interpret these Terms in a manner that overrides mandatory protections provided by applicable Texas or federal law.
25. GOVERNING LAW
These Terms and disputes arising from them are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where federal law controls.
26. VENUE AND JURISDICTION
Subject to any mandatory venue requirement or separate written dispute-resolution agreement, any judicial proceeding arising from these Terms shall be brought in a court of competent jurisdiction located in Harris County, Texas.
Texas law contains statutory venue rules that may control in particular circumstances, so “Harris County, Texas” is more precise than the old wording “courts located in Houston, Texas.”
27. CHANGES TO THESE TERMS
WAFL+ may update these Terms as our website, services, business model, technology, or legal requirements evolve.
The current version will be posted on this website with an updated Effective Date.
Changes apply prospectively unless otherwise required or permitted by law.
Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms where legally permitted.
Material changes affecting an existing paid engagement will not override a separately executed agreement unless that agreement permits such modification.
28. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
29. NO WAIVER
Failure by WAFL+ to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
30. ENTIRE WEBSITE AGREEMENT
These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing general use of this website.
Separate written agreements govern specific professional engagements where applicable.
